Terms of Service

1. Acceptance of Terms

By accessing or using Magisterial (“the Service”), operated by Magisterial (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Magisterial is an AI-powered college soccer research and scouting platform. The Service allows users to search for players and teams, chat with an AI assistant, generate scouting reports, browse the transfer portal, save players to a personal library, and export reports to Google Docs.

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement.

4. Accounts and Authentication

You sign in to Magisterial with Google, Apple, or your email address (a password or a one-time sign-in link). You are responsible for maintaining the security of your account and of the sign-in method you use. You agree not to share your account access with others unless through our multi-user account sharing feature, where applicable.

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used fraudulently.

5. Subscriptions and Billing

Magisterial offers a free plan and paid plans (Player, Pro, and Max). Plans are purchased per sport. Paid subscriptions are billed on a recurring basis, monthly or yearly, through Stripe or, when you subscribe in our iOS app, through Apple's App Store. You may also purchase one-time extra usage packs through Stripe.

• Recurring billing: By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.
• Cancellation: You may cancel your subscription at any time from your account settings, or for App Store subscriptions from your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period. Refunds for App Store purchases are handled by Apple under its policies.
• Plan usage: Every plan, including the free plan, includes a monthly usage allowance for the Service's AI features. Paid plans include a larger allowance, described on our pricing page as a multiple of the free plan's allowance. The allowance belongs to your account: it is shared by every member of the account and across every sport, it is set by the highest plan on the account, and it resets at the start of each calendar month. Unused allowance does not carry over. When the allowance and any extra usage are used up, AI features are unavailable until the allowance resets, you upgrade, or you buy extra usage. Automations that generate reports or documents draw on the same allowance. Outreach email sending also has its own per-plan daily and monthly limits.
• Rate limits: Each plan also limits how many requests can be made per minute, as shown on our pricing page.
• Extra usage packs: Extra usage is used only after the monthly allowance runs out. It belongs to the account, does not expire, and is non-refundable.
• Changes to plans: We may change the usage allowances, rate limits, and features included in a plan. We will give reasonable advance notice of a change that reduces what a paid plan includes.
• Price changes: We may change subscription pricing with reasonable advance notice. Continued use after a price change constitutes acceptance.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems.
• Scrape, crawl, or use automated tools to extract data from the Service beyond normal use of the provided interface and API.
• Redistribute, resell, or sublicense access to the Service or its data without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.

7. AI-Generated Content

The Service uses third-party AI models (including those from Anthropic and OpenAI) to generate responses, analyses, and reports. AI-generated content is provided for informational and research purposes only.

• We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
• AI outputs should not be treated as professional advice. You are responsible for verifying any information before relying on it for decisions.
• Statistical data is sourced from publicly available college athletics records and may contain errors or be outdated.

8. Intellectual Property

The Service, including its design, features, code, and branding, is the property of Magisterial and is protected by applicable intellectual property laws. You retain ownership of any content you create using the Service (such as saved notes or exported reports).

9. Third-Party Services

The Service integrates with third-party services including Google (for authentication and document export), Stripe (for payments), Anthropic, and OpenAI. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

10. Coach Referral Program

Verified coaches may participate in our referral program after accepting the current referral terms. Self-referrals, referrals within the same account, duplicate accounts, misleading promotion, and other attempts to manufacture rewards are not eligible. We may pause or disqualify referrals while reviewing suspected abuse.

• Invitations match the selected coach email to a genuinely new account. The first valid invitation wins within the 30-day attribution window.
• Recipients receive 10% off Max subscription charges for the first 365 days after their first payment. Senders earn subscription discounts worth 20% of eligible charges under the frozen program policy.
• Rewards remain pending during the stated hold period and may be reduced or reversed for refunds, disputes, credit notes, or ineligible payments.
• After the 30-day hold, sender rewards automatically reduce the next eligible subscription bill. Unused amounts carry forward. Discounts do not stack with other acquisition promotions.
• Referral rewards are subscription discounts and cannot be withdrawn or exchanged for extra usage. Refunds and disputes reduce unused discounts or offset future rewards if the discount was already used.

11. Limitation of Liability

To the maximum extent permitted by law, Magisterial and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part of it) at any time. We may also update these Terms of Service from time to time. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes constitutes acceptance of the updated terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the Service ceases immediately, though provisions that by their nature should survive (such as limitations of liability) will remain in effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
